THIS DISTRIBUTION AGREEMENT (the "Agreement") is made as of the 6th day of December, 2010 by and among the Catalyst Funds (the “Fund”), an Ohio Business Trust, on behalf of its separate series, the Camelot Premium Return Fund, Camelot Portfolios, LLC (the "Adviser"), an Ohio Limited Liability Company and Matrix Capital Group (the "Distributor"), a New York corporation.

This AGREEMENT, dated as of the 1ST day of December 2010, by and between the Catalyst Funds (the “Fund”), a statutory business trust operating as an open-end, investment management company registered under the Investment Company Act of 1940, as amended (the “Act”), duly organized and existing under the laws of the State of Ohio and Matrix 360 Administration LLC (“Matrix”), a Limited Liability Company duly organized under the laws of the State of Delaware (collectively, the "Parties").
