This Master Agreement (this “Agreement”), is entered into as of September 29, 2014, by and between CONTANGO ORE, INC., a Delaware corporation (the “Company”) and ROYAL GOLD, INC. a Delaware corporation (“Royal Gold”). Capitalized terms used herein (including in the immediately preceding sentence) and not otherwise defined herein shall have the meanings set forth in Section 7.01 hereof.

This Amendment No. 2 to Rights Agreement (this “Amendment”) is made and entered into as of September 29, 2014, by and between Contango ORE, Inc., a Delaware corporation (the “Company”) and Computershare Trust Company, N.A., as Rights Agent (the “Rights Agent”).

This Voting Agreement, dated as of September 29, 2014 (this “Agreement”), is made and entered into by and among Royal Gold, Inc., a Delaware corporation (“Royal Gold”), and the undersigned stockholders (each, a “Stockholder” and, collectively, the “Stockholders”) of CONTANGO ORE, INC., a Delaware corporation (the “Company”). Royal Gold and each of the Stockholders are referred to individually as a “Party” and collectively as the “Parties.”
