This STRATEGIC INVESTMENT AGREEMENT (“Agreement”), dated as of October 9, 2009, is made by and between ProElite, Inc., a New Jersey corporation (the “Company”), on the one hand, and Stratus Media Group, Inc., a Nevada corporation (“SMGI”) on the other hand.
