This Promissory Note (the "Note") is made and executed as of the date referred to above, by and between Freedom Environmental Services, Inc. and Resort Marketing Professionals, Inc. By this Note, the Borrower promises and agrees to pay to the order of Lender the aggregate unpaid principal amount of all funds advanced by Lender to Borrower or on behalf of Borrower, together with interest thereon from the date each advance is made until paid in full, both before and after judgment, at the rate of fifteen percent (15%) per annum, simple interest. Interest will be accrued. This note incorporates, then supersedes, any and all debt instruments executed between Resort Marketing Professionals, Inc. and Freedom Environmental Services LLC.

This Promissory Note (the "NOTE") is made and executed as of the date referred to above, by and between Freedom Environmental Services LLC, a Florida Limited Liability Company (the "BORROWER"), and Resort Marketing Professionals, Inc.("LENDER"). By this Note, the Borrower promises and agrees to pay to the order of Lender, within three days of the demand of the Lender, the aggregate unpaid principal amount of all funds advanced by Lender to Borrower or on behalf of Borrower together with interest thereon from the date each advance is made until paid in full, both before and after judgment, at the rate of 15 percent (15%) per annum, simple interest.

THIS STOCK PURCHASE AGREEMENT (the “Agreement”) is entered into and is effective on this 21st day of May, 2008 by and between BMXP Holdings, Inc., a Delaware corporation with principal address at 8885 Rio San Diego (the “Buyer”), and Michael Borish, Edmund F. Curtis and John Holwell (collectively the “Sellers” and individually “Seller”). As used in this Agreement, the term, “Parties” shall refer to the Buyer and the Seller jointly.

This Promissory Note (the "Note") is made and executed as of the date referred to above, by and between Freedom Environmental Services, Inc. and Diana Perlman. By this Note, the Borrower promises and agrees to pay to the order of Lender the aggregate unpaid principal amount of all funds advanced by Lender to Borrower or on behalf of Borrower, together with interest thereon from the date each advance is made until paid in full, both before and after judgment, at the rate of twelve percent (12%) per annum, simple interest. It is anticipated the principal advance amount of the note will be six hundred thousand dollars($600,000). Interest shall be paid monthly, in arrears. Borrower shall have the right, with approval of Lender, to accrue interest without penalty.
