Each Restricted Stock Unit shall relate to one share of Common Stock, par value $0.001 per share (the “Stock”) of the Company, subject to the restrictions and conditions set forth herein and in the Insulet Corporation Second Amended and Restated 2007 Stock Option and Incentive Plan as amended through the date hereof (the “Plan”). This Award was granted as an “Inducement Award” under NASDAQ Listing Rule 5635(c)(4) and accordingly is not issued under the Plan. However, this Award is intended to incorporate all of the terms and conditions of the Plan.
