This amended agreement (together with exhibits and schedules, the “Agreement”) is entered into by and between ERC Homebuilders 1, Inc. (“Client”) a Delaware Corporation, and Sageworks Capital LLC., a Pennsylvania Limited Liability Company (“Sageworks”). Client and Sageworks agree to be bound by the terms of this Agreement, effective of April 10, 2019 (the “Effective Date”):

THIS INVESTMENT INVOLVES A HIGH DEGREE OF RISK.
