THIS SECOND AMENDMENT TO AGREEMENT FOR PURCHASE AND SALE (this “Second Amendment”) is made and entered into as of the 11th day of December, 2018 (the “Second Amendment Effective Date”) by and among MIDTOWN EAST BLOCK 1 L.L.C., an Indiana limited liability company (“Midtown 1”), MIDTOWN EAST BLOCK 2 L.L.C., an Indiana limited liability company (“Midtown 2”), MIDTOWN PARKING GARAGE PARTNERS, INC., an Indiana corporation (“Midtown Garage”; Midtown 1, Midtown 2 and Midtown Garage are hereinafter collectively referred to as “Seller”) and STREITWISE ACQUISITION LLC, a Delaware limited liability company (“Buyer”).

THIS AGREEMENT FOR PURCHASE AND SALE is made and entered into as of the ___ day of April, 2018, by and between MIDTOWN EAST BLOCK 1 L.L.C., an Indiana limited liability company, MIDTOWN EAST BLOCK 2 L.L.C., an Indiana limited liability company, and MIDTOWN PARKING GARAGE PARTNERS, INC., an Indiana corporation (collectively, "Seller"), and STREITWISE ACQUISITION LLC, a Delaware limited liability company ("Buyer").

WHEREAS, Seller and Buyer entered into that certain Agreement For Purchase And Sale dated April 3, 2018 (the “Agreement”) for the Property (as defined in the Agreement) which Agreement was terminated pursuant to that certain letter from Justin Iwata, as attorney for Buyer, to Seller dated May 11, 2018; and
