Ft. Union Blvd, Suite 101, Salt Lake City, UT 84047, as escrow agent hereunder (“NCPS” or “Escrow Agent”), North Capital Private Securities Corporation (“Placement Agent”), and Platform Ventures Diversified Housing REIT, LLC a Delaware limited liability company (“Issuer”), located at 4220 Shawnee Mission Parkway, Suite 200B, Fairway, KS 66205.

THIS AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP OF PVDH OPERATING PARTNERSHIP, LP (the “Partnership”), dated as of [_______], 2018, is entered into by and among Platform Ventures Diversified Housing REIT, LLC, a Delaware limited liability company (the “Company”), as the General Partner, and the Persons whose names are set forth on Exhibit A attached hereto, as the Limited Partners, together with any other Persons who become Partners in the Partnership as provided herein.
