This Membership Interest Purchase Agreement (this “Agreement”), dated as of August 2, 2016 (the “Execution Date”), is entered into by and between Bakken Holdings Company LLC, a Delaware limited liability company (“Seller”), and MarEn Bakken Company LLC, a Delaware limited liability company (“Buyer”). Seller and Buyer are sometimes referred to collectively herein as the “Parties” and each individually a “Party.”

This LIMITED LIABILITY COMPANY AGREEMENT (this “Agreement”) of MarEn Bakken Company LLC, a Delaware limited liability company (the “Company”), dated as of August 2, 2016 (the “Effective Date”), is adopted, executed and agreed to by the Company and the parties executing this Agreement in their respective capacities as Members of the Company.

Reference is made to the Credit Agreement, dated as of September 26, 2011 (as amended, restated, supplemented or otherwise modified from time to time prior to the date hereof, the “Credit Agreement”), by and among Enbridge Energy Partners, L.P. (the “Borrower”), the Lenders from time to time party thereto, and Bank of America, N.A., as Administrative Agent, an L/C Issuer and a Swing Line Lender, and Royal Bank of Canada, an L/C Issuer. Capitalized terms used herein and not otherwise defined herein shall have the meanings ascribed to such terms in the Credit Agreement.
