This Transition, Separation and General Release Agreement (“Transition Agreement”) is entered into by and between Kristin Savilia (“Ms. Savilia”) and XO Group Inc. (“Company”) as of the 14th day of September, 2016 (“Agreement Date”), and hereby supersedes and replaces in its entirety that certain term sheet dated September 8, 2016 between Ms. Savilia and the Company in the form attached hereto as Exhibit A (the “Term Sheet”).
