This Shared Services Agreement (this “Agreement”) is entered into as of __________ ___, 2015, by and between Rise Companies Corp., a Delaware corporation (“Rise”) and Fundrise Advisors, LLC, a Delaware limited liability company (the “Manager”). Capitalized terms used herein but not otherwise defined shall have the meanings ascribed to them in the Amended and Restated Operating Agreement of Fundrise Real Estate Investment Trust, LLC, dated as of the date hereof (as the same may be amended from time to time, the “Operating Agreement”).
