THIS AMENDED AND RESTATED EMPLOYMENT AND CHANGE OF CONTROL AGREEMENT (this “Agreement”) is made and entered as of the 23rd day of September, 2015 by and among NewBridge Bancorp, a North Carolina corporation (“Bancorp”), “NewBridge Bank” (the “Bank”) (Bancorp and the Bank are collectively referred to as the “Employer”), and William W.
