This REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made and entered into as of August 29, 2014, by and between NEPHROS, INC., a Delaware corporation (the “Company”), and LAMBDA INVESTORS LLC (“Lambda”).

This SECURITY AGREEMENT, dated as of August 29, 2014 (as amended, amended and restated, supplemented, or otherwise modified from time to time in accordance with the provisions hereof, this “Agreement”), is by and between Nephros, Inc., a Delaware corporation (the “Company”), and LAMBDA INVESTORS LLC (together with any assignees of the Promissory Note (as defined below) from time to time and their respective successors, the “Lender”).
