THIS FOURTH AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP, dated as of July 31, 2014 is made by Gramercy Property Trust Inc., a Maryland corporation, as the General Partner of and a Limited Partner in the Partnership and each of the other persons listed on the signature pages hereto, for the purpose of amending and restating the Third Amended and Restated Agreement of Limited Partnership of the Partnership dated as of April 19, 2006 by and among the General Partner, SL Green Operating Partnership, LP., GKK Manager LLC, and certain other Persons (as defined below) (as so amended from time to time prior to the date hereof, the “Third Amended and Restated Partnership Agreement”).
