THIS SECURITIES PURCHASE AGREEMENT is entered into as of this 14th day of March, 2014, by and between ESCO Technologies Holding LLC, a Delaware limited liability company (“Parent”), and Meter Readings Holding, LLC, a Delaware limited liability company (the “Buyer”).
