EXCHANGE AGREEMENT (the "Agreement"), dated as of March 24, 2014, by and among eOn Communications Corporation, a Delaware corporation, with headquarters located at 1703 Sawyer Road, Corinth, MS 38834 (the "Company"), and the investor listed on the signature page attached hereto (a "Holder"). Capitalized terms used herein and not otherwise defined herein shall have the respective meanings set forth in the Purchase Agreement (as defined below).
