THIS AGREEMENT AND PLAN OF MERGER is entered into as of December 31, 2013 by and among GLOBAL CONDIMENTS, INC., a Nevada corporation (“Parent”), SPL AQUISITION CORP., a Delaware corporation and a wholly-owned subsidiary of Parent (“Acquisition Corp.”), and SOUTHPORT LANE, INC., a Delaware corporation (the “Company”).

This Agreement of Conveyance, Transfer and Assignment of Assets and Assumption of Obligations (“Transfer and Assumption Agreement”) is made as of January 2, 2014, by Global Condiments, Inc., a Nevada corporation (“Assignor”), and Charles C. Herlocher (“Assignee”).
