This Amendment (the “Amendment”) to the Distribution Agreement (the “Agreement”) dated as of the 31st day of March 2009, as amended, by and between American Beacon Funds and American Beacon Select Funds, each a Massachusetts business trust that acts as an open-end investment company (each a “Client” and, collectively, the “Clients”) and Foreside Fund, Services, LLC, a Delaware limited liability company (“Foreside”) is entered into as of November 19, 2013 (the “Effective Date”).

The attached amended and restated Schedule A is hereby incorporated into the Management Agreement dated September 12, 2008, as amended (“Agreement”), by and between the American Beacon Funds and the American Beacon Select Funds, each a Massachusetts business trust (each, a “Trust”), on behalf of each Fund of a Trust listed on Schedule A hereto, as may be amended from time to time (each, a “Fund”), and American Beacon Advisors, Inc., a Delaware corporation (“Manager”) and supersedes any prior Schedule A to the Agreement. In addition, with regard to each Fund, Paragraph 2(f) of the Agreement is hereby amended to provide that, to the extent any such duties specified in Paragraph 2 of the Agreement are delegated to one or more Subadvisers, the fees of each such Subadviser shall be the expense of the Fund, and not of the Manager, effective as of such time as the Manager, the Trust and the Subadviser enter into an Investment Advisory Agreement with respect to such Fund that provides for such
