REGISTRATION RIGHTS AGREEMENT (this “Agreement”), dated as of November 8, 2013, by and between ATOSSA GENETICS, INC., a Delaware corporation (the “Company”), and ASPIRE CAPITAL FUND, LLC, an Illinois limited liability company (together with its permitted assigns, the “Buyer”). Capitalized terms used herein and not otherwise defined herein shall have the respective meanings set forth in the Common Stock Purchase Agreement by and between the parties hereto, dated as of the date hereof (as amended, restated, supplemented or otherwise modified from time to time, the “Purchase Agreement”).

This OwnerChip Program Agreement (“Agreement”) is entered into as of September 1, 2013 (“Effective Date”) by and between Affymetrix, Inc., having its principal place of business at 3420 Central Expressway, Santa Clara, CA 95051 (“Affymetrix”) and The National Reference Laboratory for Breast Health, Inc. (“Customer”), with a place of business at 1616 Eastlake Avenue East, Suite 510, Seattle, WA 98102 (“Customer’s Site”), each a “Party” and together as “Parties”.
