THIS LIMITED LIABILITY COMPANY AGREEMENT (the “Agreement”) of Brookfield DTLA Fund Properties III LLC, a Delaware limited liability company (the “Company”), dated as of [______], 2013, is entered into by and among Brookfield DTLA Fund Properties II LLC, a Delaware limited liability company (the “Managing Member”) and the Persons whose names are set forth on Exhibit A attached hereto, as the Members, together with any other Persons who become Members in the Company as provided herein.
