THIS GUARANTY OF PAYMENT (this “Guaranty”) is made as of the __ day of November, 2012, by Steven Leber and Joseph Bernstein (each, a “Guarantor” and together, the “Guarantors”), in favor of Mel Harris (“Lender”) of the Promissory Note, dated as of the date hereof with a principal amount of Two Hundred Thousand Dollars ($200,000) (the “Note”) issued by Grandparents.com, Inc., a Delaware corporation (the “Borrower”).
