This DIRECTOR AGREEMENT (the “Agreement”) is made and entered into as of this 22nd day of August 2012, effective as of August 22, 2012 (the “Effective Date”), by and between China HGS Real Estate Inc., a Florida corporation whose shares are publicly traded (the “Company”), and Christy Y. Shue, a citizen of the United States with a permanent residence in the state of New Jersey (the “Independent Director”).
