This PURCHASE AGREEMENT (this “Agreement”), dated as of May 4th, 2011 (the “Effective Date”), is entered into by and between Atossa Genetics, Inc., a Delaware corporation (“Buyer”), and Hologic Inc., a Delaware corporation (“Seller”).
