THIS SUBSCRIPTION ESCROW AGREEMENT (this “Agreement”), is entered into as of April __, 2012, by and among Sunity Online Entertainment Limited (“Issuer”), ICM Capital Markets Ltd. The undersigned, Sunity Online Entertainment Limited, a Cayman Islands exempted limited liability company (collectively with its subsidiaries and affiliates, including, without limitation, all entities disclosed or described in the Registration Statement (as hereinafter defined) as being subsidiaries or affiliates of the Company, the “Company”), hereby confirms its agreement with ICM Capital Markets Ltd.
