This PLACEMENT AGENT’S WARRANT (this “Warrant”) of LiqTech International, Inc., a corporation duly organized and validly existing under the laws of the State of Nevada (the “Company”), is being issued pursuant to that certain Placement Agency Agreement, dated as of February __, 2012 (the “Placement Agency Agreement”), by and among the Company and Sunrise Securities Corp.
