This EMPLOYMENT AGREEMENT (the “Agreement”) is effective as of May 12th, 2011 (the “Effective Date”), between Document Security Systems, Inc., a New York corporation with an office at First Federal Plaza, 28 Main Street East, Suite 1525, Rochester, New York 14614 (“Company” or “DSS”) and Michael Roy (“Executive”). The above Company and Executive may also be referred to herein each individually as a “Party”, and collectively, as the “Parties”.

THIS STOCK PURCHASE AGREEMENT (the “Agreement”) is entered into as of the 12th day of May, 2011 (the “Effective Date”), by and among Michael Roy and Timothy Trueblood (each individually a “Shareholder”, and collectively, the “Shareholders”), Extradev, Inc., a New York corporation (the "Corporation”), and Document Security Systems, Inc., a New York corporation (the "Buyer").
