Chisen Electric Corporation, a Nevada corporation (the “Company”), proposes, subject to the terms and conditions stated herein, to issue and sell to Newbridge Securities Corporation (the “Underwriter”) an aggregate of [_____] shares of authorized but unissued common stock (the “Underwritten Shares”), par value $0.001 per share, of the Company (the “Common Stock”), and to grant to the Underwriter the option to purchase of up to an aggregate [___] additional shares of Common Stock representing a number of shares of Common Stock equal to fifteen percent (15%) of the total number of Underwritten Shares (the “Over-Allotment Shares”) as may be necessary to cover over-allotments made in connection with the offering.
