FIRST SUPPLEMENTAL INDENTURE (this “Supplemental Indenture”), dated as of October 4, 2010, among STONERIDGE, INC., an Ohio corporation (the “Company”), the subsidiaries of the Company party hereto (the “Guarantors”), and THE BANK OF NEW YORK MELLON TRUST COMPANY, N.A. (successor trustee to Fifth Third Bank), a national banking association, as trustee (the “Trustee”), to the INDENTURE, dated as of May 1, 2002, among the Company, the Guarantors, and the Trustee (the “Indenture”).
