THIS AGREEMENT (the “Agreement”) made as of this 15th day of December, 2009 (the “Effective Date”) by and between Sandy Spring Bancorp, Inc., a registered bank: holding company and a Maryland Corporation (“Bancorp”), Sandy Spring Bank, a Maryland corporation and wholly owned subsidiary of Bancorp with its headquarters in Olney, Maryland (collectively the “Bank”) and Frank H. Small (the “Officer”).
