This Indemnification Agreement (this “Agreement”), dated as of the 20th day of January, 2010 is made by and between SUTOR TECHNOLOGY GROUP LIMITED., a Nevada corporation (the “Company”), and Gerard Pascale, a director of the Company (the “Indemnitee”).

THIS INDEPENDENT DIRECTOR’S CONTRACT (the “Agreement”) is made as of the 20th day of January, 2010 and is by and between Sutor Technology Group Limited, a Nevada corporation (hereinafter referred to as the “Company”), and Gerard Pascale (hereinafter referred to as the “Director”).
