THIS AMENDED AND RESTATED ASSET PURCHASE AGREEMENT (the “Agreement”) is made this 29th day of December and supersedes and replaces the Original Asset Purchase Agreement dated the 21st day of June 2009, by and among Genio Group, Inc., a Delaware corporation (“Genio Group Inc”); Millennium Prime, Inc., incorporated under the laws of Nevada (“Millennium Prime, Inc.”); and the persons listed in Exhibit A-1 hereof who are the owners of record of all the issued and outstanding stock of Millennium Prime, Inc. who execute and deliver the Agreement (“Millennium Prime, Inc.
