THIS AGREEMENT AND PLAN OF MERGER, dated as of September 25, 2009 (this "Agreement"), is made and entered into by and among Pomeroy IT Solutions, Inc., a Delaware corporation (the "Company"), Project Skyline Intermediate Holding Corporation, a Delaware corporation ("Parent") and Project Skyline Merger Corporation, a Delaware corporation and a wholly owned subsidiary of Parent ("MergerSub").
