This Financing and Security Agreement is dated for purposes of reference July __, 2009, is by and between the undersigned, Lattice Incorporated whose address is 7150 North Park Drive, Suite 500, Pennsauken, NJ, Ricciardi Technologies, Inc. whose address is 2411 Dulles Corner Park, Suite 220, Herndon, VA, System Management Engineering, Inc. whose address is 2411 Dulles Corner Park, Suite 200, Herndon, VA (hereinafter collectively referred to as “CLIENT”) and ACTION CAPITAL CORPORATION (hereinafter referred to as “ACTION”), which has its executive office and principal place of business at 230 Peachtree St. NW, Suite 910, Atlanta, GA 30303.
