This SECURITY AGREEMENT (this “Agreement”) is dated as of June 23, 2009 and entered into by and among O2DIESEL CORPORATION, a Delaware corporation (“O2Corp.”), O2DIESEL FUELS, INC., d/b/a O2Diesel, Inc., a Delaware corporation (“O2Inc.” and together with O2Corp., each a “Grantor” and collectively the “Grantors”) and ENERGENICS HOLDINGS PTE LTD. (“Secured Party”).
