This Asset Purchase Agreement is made as of February 5, 2009, among ProElite, Inc., a New Jersey corporation (“ProElite”), EliteXC Live, a California corporation and a wholly-owned subsidiary of ProElite (“EliteXC” and together with ProElite, the “Sellers” and each a “Seller”) and Explosion Entertainment, LLC, a California limited liability company (“Buyer”).
