AGREEMENT AND PLAN OF MERGER, dated as of January 12, 2009, between Clifford China Estates Inc., a Nevada corporation (“Parent”), and Asian Trends Media Holdings, Inc., a Nevada corporation and a direct wholly-owned subsidiary of Parent (“Asian Trends”).
