SECURITY AGREEMENT, dated as of August 13, 2008 (this “Agreement”) made by US DATAWORKS, INC., a Nevada corporation (the “Company” or the “Grantor”), in favor of CHARLES E. RAMEY, in his capacity as collateral agent (in such capacity, the “Collateral Agent”) (as defined below) for the “Buyers” party to the Note Purchase Agreement, dated as of August 13, 2008 (as amended, restated or otherwise modified from time to time, the “Note Purchase Agreement”).
