This PURCHASE AND SALE AGREEMENT (this “Agreement”) is effective as of June 11, 2008 (the “Effective Date”) and is by and between Atlas America, LLC, a Delaware limited liability company with offices at 1550 Coraopolis Heights Road, Moon Township, PA 15108 (“Atlas”) and Miller Petroleum, Inc., a Tennessee corporation with offices at 3651 Baker Highway, Huntsville TN 37756 (“Miller”).
