AMENDMENT NO. 1 dated as of ___ June, 2008 (the "Amendment") to the Deposit Agreement dated as of September 4, 2001 (the "Deposit Agreement"), among OJSC North-West Telecom (the "Company"), incorporated under the laws of The Russian Federation, JPMorgan Chase Bank, N.A., as depositary (the "Depositary"), and all Holders from time to time of American Depositary Receipts ("ADRs") issued thereunder.
