The purpose of this Buck-A-Roo$ Stock Option Plan (the “Plan”) is to benefit the shareholders of Buck-A-Roo$ Holding Corporation, a Nevada corporation (the “Company”), by assisting the Company to attract, retain and provide incentives to Employees and Directors of, and non-employee Consultants to, the Company and its Affiliates, and to align the interests of such Employees, Directors and Consultants with those of the Company’s shareholders. Accordingly, the Plan provides for the granting of Incentive Stock Options and Non-Qualified Stock Options, as provided herein, as may be best suited to the circumstances of the particular Employee, Director or Consultant.
