This GUARANTEE AGREEMENT (this “Guarantee”), dated as of July 2, 2007, is executed and delivered by WGNB Corp., a Georgia corporation (the “Guarantor”), and Wilmington Trust Company, a Delaware banking corporation, as trustee (the “Guarantee Trustee”), for the benefit of the Holders (as defined herein) from time to time of the Capital Securities (as defined herein) of WGNB Statutory Trust I, a Delaware statutory trust (the “Issuer”).

This Employment Agreement (the “Agreement”) is hereby entered into by and between RANDALL F. EAVES, a resident of the State of Georgia (the “Executive ”) and WEST GEORGIA NATIONAL BANK, a national banking association (the “Bank”) and the Bank’s sole shareholder, WGNB CORP., a Georgia Bank Holding Company (“WGNB”).
