THIS CONSULTING AGREEMENT (this "Agreement") is entered into this 1st day of May 2006 and is by and between EAU Technologies, Inc., a Delaware corporation (hereinafter referred to as the “Company") and JL Montgomery Consulting, LLC, a Florida limited liability company, (herein after referred to as "CONSULTANT"). The Company and Consultant are referred to herein sometimes collectively as the “Parties,” and individually as the “Party.”
