THIS AMENDMENT dated as of this 24 day of February, 2006, to the Transfer Agent Servicing Agreement, dated as of April 1, 1996, as amended as of May 18, 2004 (the "Agreement"), is entered by and between THE LOU HOLLAND TRUST, a Delaware statutory trust (the "Trust") and U.S. BANCORP FUND SERVICES, LLC, a Wisconsin limited liability company ("USBFS").
