THIS AGREEMENT (the “Security Agreement”), signed February 19, 2004 but retroactively effective January 1, 2004, amends and restates in its entirety the SECURITY AGREEMENT dated January 13, 2004 between and among AROTECH CORPORATION, a Delaware corporation (the “Buyer”), FAAC INCORPORATED, a Michigan corporation (the “Company”), and ALAN G. JORDAN and TIM L. CARR, the sole shareholders of the Company (respectively “Jordan” and “Carr” and collectively the “Shareholders”).
