THIS EMPLOYMENT AGREEMENT (the “Agreement”) is made and entered into as of July 22, 2005 and shall be effective as of August 8, 2005 (the “Effective Date”) by and between Patient Safety Technologies, Inc., a Delaware corporation, with an office located at 100 Wilshire Boulevard, Suite 1500, Santa Monica, California, 90401 (the “Company”) and James Schafer, an individual with an address 1215 Pinehurst Road, Chula Vista, California, 91915 (“Individual”).
