This letter agreement (the “Agreement”) sets forth the terms and conditions under which the Board of Directors of Bio-Lok International Inc. (the “Company”) has exclusively retained Capitalink, L.C. (“Capitalink”) to render certain financial advisory services in assisting the Company to seek strategic alternatives, including a potential Transaction or Investment (each as defined below), and rendering a fairness opinion, if required.
