THIS AGREEMENT is made and entered into as of the 20th day of September , 2004 (“Agreement”), by and among APOLLO GOLD, INC., a Delaware corporation, APOLLO GOLD EXPLORATION, INC., a Delaware corporation, FLORIDA CANYON MINING, INC., a Delaware corporation, MINE DEVELOPMENT FINANCE, INC., a Delaware corporation, MONTANA TUNNELS MINING, INC., a Delaware corporation, and STANDARD GOLD MINING, INC., a Delaware corporation (any one or more of which are collectively referred to herein as the “Subsidiaries” and individually as a “Subsidiary”), and ____________ (“Indemnitee”).
