THOMAS ("Thomas"), VITARICH LABORATORIES, INC., a Florida corporation (the "Company"), ARGAN, INC., a Delaware corporation ("Parent"), and AGAX/VLI ACQUISITION CORPORATION ("Subsidiary"), a Delaware corporation and a 100% subsidiary of Parent.
