Femasys Inc., a corporation organized under the laws of Delaware (the “Issuer”), proposes to issue and sell to the several underwriters named in Schedule I hereto (the “Underwriters”), for whom Chardan Capital Markets LLC is acting as representative (the “Representative”), [●] shares of common stock, $0.001 par value per share (“Common Stock”) of the Issuer (said shares to be issued and sold by the Issuer being hereinafter called the “Underwritten Securities”). The Issuer also proposes to grant to the Underwriters an option to purchase up to [●] additional shares of Common Stock to cover over-allotments, if any (the “Option Securities;” the Option Securities, together with the Underwritten Securities, hereinafter called the “Securities”). This Employment Agreement (this “Agreement”) is entered into as of June 1, 2021 by and between Femasys Inc., a Delaware corporation (the “Company”), and Kathy Lee-Sepsick (the “Executive”). This Agreement shall become effective on the date on which the Company’s securities become publicly traded on a national securities exchange or quoted on an automated quotation system, which shall include the closing of a transaction pursuant to which the Company is acquired by, or merged with, another company and immediately following such transaction, the Company’s, such acquiror’s or any of their respective parent company’s securities are publicly traded on a national securities exchange or quoted on an automated quotation system. If such date does not occur on or prior to September 30, 2021, this Agreement shall be null and void ab initio. The date on which this Agreement becomes effective shall be referred to herein as the “Effective Date.”

Thompson, residing at 2315 Cape Courage Way, Suwanee, GA 30024 (hereinafter “Executive”).
