This Asset Purchase Agreement (the “Agreement”) is entered into as of April 1, 2019 (the “Effective Date”), by and between MGI Grain Processing, LLC, a Minnesota limited liability company with principal offices at 316 5th Avenue NE, East Grand Forks, MN 56721 (“Seller”), Sharon Virginia Alexander, an individual residing at 27035 Noble Road, Excelsior, MN 55331, Mark Jeffrey Spatz, an individual residing at 10 Crescent Key, Bellevue, WA 98006, R.
